Job Description
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">You will be in charge of managing the secretarial and legal matters of the affiliated companies of the Believe Group in India, mostly in Contract, IP law and Companies Act. You will ensure the Group’s templates of contract and the Group’s processes are applied.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">The role will have a bifurcation 70:30 ratio, with 70% dedicated to legal and 30% towards company secretary. </span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">In practical terms, your tasks and responsibilities shall be:</span></span></span></p>

<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Corporate matters such as preparing agendas and papers for board meetings, committees, and annual general meetings (AGMs/EGMs), convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments, maintain statutory books, including registers of members, directors, paying dividends to shareholders and manage share option schemes</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Internal compliances as per Indian Company Laws, FEMA Laws</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Liaise with external regulators and advisers such as lawyers, consultants and auditors</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Assist the team with valuable inputs related mergers, acquisitions, slump sales and amalgamations including post integration</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Manage contractual agreements with suppliers and customers including drafting, vetting and negotiations of agreements and addendums/amendments</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Handle pre-litigation and litigation matters including public notices, legal notices; reporting to our head of litigation in Paris and with external lawyers where necessary;</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">CSR and Trademark compliances</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Coordinate internal stakeholders for assisting in drafting of inter-company agreements, policies and procedures, maintain SOPs and trackers.</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Research and prepare legal opinions on various topics</span></span></span></span></li>
<li style="margin-bottom:13px"><span style="font-size:11pt"><span style="tab-stops:list .5in"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">Resolve day to day legal queries raised by multiple stakeholders of the Group</span></span></span></span></li>
