JOB DESCRIPTION Part I - Role Details Job Title Sr. Associate, Compliance and Investor relations - Private Equity Location 1501, 15th Floor, Lodha Supremus, 4, Dr Elijah Moses Rd, Worli Naka, Worli, Mumbai - 00018 Reports to Chief Financial Officer Type of Employment Fulltime Knowledge and skill set • Compliances of category II AIFs and supervision of compliances of offshore structures • Conversant with fund documents, side letters etc. • Experience of handling operational due diligence of investors • Working knowledge of SEBI AIF regulations, AML/KYC laws, Companies Act, FEMA and supervision of compliances related to US and offshore structures (e.g. Form ADV) • Skilled in investor reporting, MIS, and preparing clear LP updates, supported by strong communication and Word/Excel proficiency. • Role is expected to be self-driven, process oriented, long term oriented and having an eye for detail Other attributes: • Relevant experience in secretarial and compliance function of 6 to 10 years • Age less than 35 years at the time of applying Part II – Roles, Responsibilities, Authorities & Accountabilities Roles and Responsibilities 1. Compliance & Asset management • Ensure timely completion and submission of regulatory filings in the course of capital call events, investment and divestment e.g. Form Invi, Form DI • Ensure compliance of AIF filings e.g. Trustee compliance report, quarterly activity report, PPM audit, AIF benchmarking, PPM update etc. • Overview and supervision of corporate actions with depositories, custodian, RTA. Coordination with administrators for subscriptions/redemptions • Support on development and implementation of policy framework of Fund with respect to AML/KYC, ABAC, Conflict of Interest and integrity • Support CFO in board, LPAC and governance matters • Support in ensuring robust corporate governance and compliance across multiple fund structure entities • Ensure compliances requirement with investee company with respect to fund covenants under investment agreements. • Provide timely secretarial, legal, and compliance-related information to investors as required for ongoing transactions or reporting needs. • Oversee and obtain key compliance and secretarial documents from asset management entities to support fund-level compliance requirements for general partners • Ensure thorough documentation and governance of major financial and corporate transactions, coordinating with external third party service providers and company secretaries 2. Investor Relations and reporting • Coordination on investor-specific MIS reports and customised analyses derived from fund financials for LPs and internal stakeholders. • Coordinate and communicate with offshore investment vehicles as well as auditors, valuers, custodians, and other stakeholders to ensure timely LP reporting. • Support on investor due-diligences for legal and regulatory matters Accountability • Maintain complete ownership of controls, reporting integrity, investor communication, and compliance across the fund structure and associated entities • Uphold high standards of transparency, accuracy, and timeliness in regulatory reporting activities • Should have good communication skills and fluency in English
