Company Overview
Forward Finance Private Limited is an RBI-registered Non-Banking Financial Company (NBFC) focused on providing digital-first lending solutions, including Loans Against Investments. The company is building a technology-driven financial services platform and is seeking a Company Secretary to support its corporate governance, regulatory compliance, and secretarial functions.
Job Summary
The Company Secretary will play a crucial role in ensuring compliance with the Companies Act, 2013, and other relevant regulations, organizing Board and Shareholders’ meetings, and maintaining statutory records. This position will contribute to the overall governance and compliance framework of the organization, ensuring efficient operations within a high-growth environment.
Responsibilities
- Ensure compliance with the Companies Act, 2013 and applicable rules.
- Organize and manage Board Meetings, Committee Meetings, and Shareholders’ Meetings.
- Prepare agendas, notices, minutes, resolutions, and maintain statutory records.
- Handle ROC filings, annual filings, and event-based compliance.
- Maintain statutory registers, records, and corporate documents.
- Support compliance with RBI regulations applicable to NBFCs.
- Coordinate with regulatory authorities and external consultants on compliance matters.
- Monitor changes in regulatory requirements and advise management accordingly.
- Assist in establishing and strengthening corporate governance frameworks.
- Review agreements, contracts, and legal documents from a compliance perspective.
- Liaise with auditors, legal advisors, consultants, and regulatory authorities.
- Support due diligence, fundraising, and other strategic initiatives as required.
Qualifications
- Education: Qualified Company Secretary (Member of the Institute of Company Secretaries of India - ICSI).
- Experience: 3–8 years in Secretarial and Compliance functions, preferably in NBFC, BFSI, Fintech, Financial Services, or listed/unlisted companies.
- Strong knowledge of Companies Act, 2013, Corporate Laws, FEMA, and RBI regulations.
- Experience in ROC filings, Board processes, and statutory compliances.
- Excellent communication, documentation, and stakeholder management skills.
Preferred Skills
- Familiarity with digital financial services and technology-driven solutions.
- Strong analytical skills to monitor compliance changes and impacts.
- Experience with corporate governance best practices.
Experience
3-8 years of professional experience in secretarial and compliance roles, particularly within the NBFC or financial services sector.
Environment
This position is based in Mumbai, Andheri and is a full-time role with a focus on corporate governance and compliance within a fast-growing financial services environment.
