<div>Key Responsibilities Secretarial & Compliance Management •</div>

<div>Lead the Secretarial and Legal functions of the company, ensuring full compliance with the Companies Act, FEMA, and RBI regulations. • Organize and conduct Board Meetings, Committee Meetings, and Annual General Meetings, including preparation of agendas, notices, resolutions, and minutes. • Maintain and update all statutory registers, records, and filings with ROC, RBI, and other regulatory authorities. • Oversee secretarial audits, board reporting, and the preparation of Board, Directors’, and Corporate Governance Reports for the Annual Report. • Ensure compliance with corporate governance standards, statutory obligations, and internal control frameworks. Regulatory & Legal Compliance • Manage overall regulatory compliance under the Companies Act, FEMA, RBI Guidelines, and allied laws. • Handle documentation, shareholder agreements, and regulatory filings for equity or quasi-equity infusions. • Execute changes to the Memorandum and Articles of Association (MoA/AoA) and manage Directorship updates. • Carry out FEMA-related filings with RBI, including capital infusion and shareholding changes. • Develop, review, and update various RBI-mandated and company-specific policies. Corporate Actions & Capital Management • Administer share-related activities such as transfers, transmissions, and allotments. • Manage capital actions including Rights Issues, Private Placements, ESOP schemes, creation of ESOP Trusts, and corporate restructuring (e.g., conversion, strike-off, or LLP formation). • Support due diligence and documentation for fundraising and investor relations. Legal Affairs • Lead and manage legal matters including contracts, agreements, notices, and litigation. • Liaise with external legal counsel, auditors, regulators (MCA, RBI), and solicitors for various corporate and compliance matters. • Draft, review, and vet legal documents and ensure alignment with corporate policies and statutory requirements. Reporting & Stakeholder Management • Ensure accurate and timely reporting of company developments to the Board, shareholders, and regulators. • Compile and finalize the full Annual Report, including the Management Discussion & Analysis and statutory disclosures. • Provide strategic inputs to management on legal and regulatory implications of key business decisions</div>
