Job Summary

The role of the Secretary is to assist the Secretarial Team with various secretarial matters related to listed public and private companies, as well as Limited Liability Partnerships (LLPs). The candidate is expected to be knowledgeable about legal provisions relevant to corporate secretarial functions and to adopt a collaborative approach in fulfilling their responsibilities.

Responsibilities

  • Perform overall secretarial functions and ensure compliance with Listing Regulations, Company Law, SEBI Regulations, and LLP compliance.
  • Handle all secretarial compliances for listed entities, subsidiaries, and promoter entities, along with related activities.
  • Prepare agendas and minutes for meetings of the Board of Directors, Committees, General Meetings, and Postal Ballot Notices for companies and LLPs.
  • Draft resolutions, including circular resolutions for companies, LLPs, and trusts.
  • Assist in the preparation of Annual Reports for companies.
  • Maintain secretarial records for companies and LLPs, including statutory registers and Directors database.
  • File necessary forms and reports with the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), Stock Exchanges, SEBI, and Registrar and Transfer Agents (RTA) in e-mode and XBRL formats.
  • Ensure statutory compliance related to debt securities and assist with the listing of commercial papers, debentures, Employee Stock Ownership Plans (ESOPs), and corporate actions.
  • Manage annual filings for companies and LLPs.
  • Handle filings related to Insider Trading provisions and SEBI Substantial Acquisition of Shares and Takeovers (SAST) Regulations.
  • Correspond and collate required information, prepare secretarial reports, and assist with secretarial and statutory audits of companies and LLPs.
  • Ensure compliance for trusts.
  • Update the Secretarial Team on amendments to SEBI laws and Companies Act requirements.
  • Revise policies and terms of reference for committees as needed.
  • Manage dividend payments and the Investor Education and Protection Fund (IEPF) process.
  • Act as the administrator for the secretarial compliance system.
  • Oversee invoicing and payment activities for the secretarial function.

Qualifications

  • Education: A Company Secretary holding CS Membership from the Institute of Company Secretaries of India (ICSI).
  • Skills:
    • Strong drafting, communication, and presentation skills.
    • Ability to thrive in a challenging, unstructured, and dynamic environment with effective multi-tasking capabilities.
    • Sincere, hard-working, and skilled in task planning and prioritization.
    • Strategic thinking and good collaboration with various support functions.
    • Proficient in Microsoft Word, Excel, and PowerPoint.
    • Rank holder at the professional level from ICSI is preferred.

Experience

  • Minimum of 1 year relevant experience in corporate secretarial functions, particularly with listed and unlisted companies and LLPs.
