About Edelweiss Asset Reconstruction Company (EARC): Edelweiss Asset Reconstruction Company (ARC) is sponsored by Edelweiss, one of India’s foremost, leading, diversified financial services conglomerate. Edelweiss ARC is in the business of acquiring Non Performing Assets (NPAs) from banks and financial institutions and resolving them through appropriate resolution strategies enunciated in the Securitization and Reconstruction of Financial Assets and Enforcement of Security Interests Act, 2002 (SARFAESI). We at Edelweiss ARC, pride ourselves on our robust team of specialists, acknowledged for their experience in debt/business restructuring as well as strong executional capabilities. The Team chooses case-specific appropriate resolution strategy to unlock maximum value from financially stressed or distressed companies for the benefit of all stake holders. The primary focus of Edelweiss ARC has been on the revival and turnaround of potentially viable industrial enterprises and towards this end, Edelweiss ARC draws synergistic support from the Edelweiss Group to extend additional need based funding, if any required. Role requirements and JD Role AVP – Compliance Location Mumbai Job Purpose To oversee and ensure comprehensive compliance with the Companies Act, SEBI, RBI, and Debenture Trustee regulations. This involves managing secretarial functions, implementing best practices in corporate governance, and maintaining adherence to all applicable legal and regulatory requirements to support the company's strategic objectives. Reporting Authority Head – Compliance and Company Secretary Organization Edelweiss Asset Reconstruction Company Limited Experience 10+ years Qualification Company Secretary (LLB will be an added advantage) Functional Skills Requirements: Regulatory Compliance: • Ensure compliance with relevant regulations and guidelines issued by regulatory bodies like SEBI, RBI, and Ministry of Corporate Affairs. • Keep abreast of legislative changes and inform management of the implications for the organization. Corporate Governance: • Ensure the company adheres to best practices in corporate governance. • Develop and implement policies to maintain high standards of corporate governance. • Conduct board meetings, annual general meetings, and other committee meetings; ensure accurate recording of minutes. Secretarial Functions: • Maintain and update statutory books, including registers of members, directors, and secretaries. • Draft, review, and manage board resolutions, agendas, and minutes of board and general meetings. • Liaise with external regulators and advisers, such as lawyers and auditors. Liaison and Coordination: Job Description AVP – Compliance EARC 3-2 • Act as a point of communication between the board of directors, management, and external stakeholders. • Coordinate with legal, finance, and compliance teams to ensure smooth operation of corporate governance functions. • Manage relationships with shareholders and handle queries and grievances. Record Management: • Ensure the maintenance of proper records, including statutory registers and records. • Implement and oversee record-keeping systems to ensure proper documentation and compliance. Asset Reconstruction Specific Skills: • Knowledge of asset reconstruction processes and compliance requirements specific to the ARC sector. • Experience in dealing with distressed assets, debt restructuring, and recovery processes. • Ability to manage and oversee the compliance aspects of asset acquisition, management, and disposal. Risk Management: • Identify potential legal risks and develop strategies to mitigate them. • Ensure the company’s risk management framework is robust and complies with relevant regulations. Communication Skills: • Strong verbal and written communication skills for effective interaction with stakeholders, board members, and regulatory authorities. • Ability to prepare comprehensive reports, presentations, and legal documents.
