Job Description

Formulate and implement Corporate Governance practices

<p>&nbsp;</p> &bull; Build strong relations with investors / JV Partners <p>&nbsp;</p> &bull; Report corporate (statutory) compliances to the Board <p>&nbsp;</p> &bull; Manage compliance with the rules and regulations and be responsible for reporting <p>&nbsp;</p> &bull; Convene statutory meetings and shareholders&rsquo; meetings, manage proceedings and draft minutes <p>&nbsp;</p> &bull; Draft model terms of reference for the Board/Board committees <p>&nbsp;</p> &bull; Keep board members up to date with strategic issues and economical changes affecting the <p>&nbsp;</p> company and the market in which it operates <p>&nbsp;</p> &bull; Address shareholder grievances and concerns <p>&nbsp;</p> &bull; Manage filing of documents and returns with the Registrar of Companies. <p>&nbsp;</p> &bull; Maintain statutory registers and records and manage compliance <p>&nbsp;</p> &bull; Co-ordinate with RBI and other such forums <p>&nbsp;</p> &bull; Coordinate with the Directors and members of the management committee <p>&nbsp;</p> &bull; Manage implementation of Secretarial Standard s <p>&nbsp;</p> &bull; Manage secretarial audit and monitor liaison with statutory auditors, internal auditors to facilitate <p>&nbsp;</p> audit of Corporate Governance and Certification of Annual Returns. <p>&nbsp;</p> &bull; Coordinate with solicitors and corporate consultants. <p>&nbsp;</p> &bull; Minimize cost escalations due to fines/penalties levied due to non-adherence to Governance <p>&nbsp;</p> norms <p>&nbsp;</p> &bull; Provide inputs in formulation of departmental budget and ensure adherence to the same.<br /> &nbsp;
