Job Summary

The Company Secretary will play a vital role in supporting the corporate governance framework and ensuring compliance with legal and regulatory requirements. This position is focused on ensuring that statutory obligations are met, maintaining secretarial records, and supporting the Board of Directors and other stakeholders in corporate governance processes.

Responsibilities

  • Preparation and filing of e-forms with the Ministry of Corporate Affairs.
  • Ensure a strong understanding of the Companies Act, 2013 and maintain accurate secretarial records.
  • Draft agendas and schedule board meetings effectively.
  • Draft Limited Liability Partnership (LLP) agreements and various other legal agreements.
  • Coordinate with registrars, transfer agents, and depositories.
  • Prepare minutes for board meetings, shareholders' meetings, debenture holders' meetings, and various committee meetings.
  • Develop annual reports for listed, public, and private companies.
  • Ensure compliance under Listing Regulations.

Qualifications

  • Educational Qualification: Any undergraduate degree and Company Secretary (CS) certification is mandatory.
  • Minimum of 2-7 years of relevant experience in corporate secretarial practices.
  • Good understanding of corporate law and governance.

  • Detail-oriented with a high level of accuracy.
