

Corporate Legal & Secretarial Compliance:
• Ensure end-to-end compliance with the Companies Act, 2013, FEMA, and allied laws.
• Draft, review, and maintain statutory records, including minutes of Board and General Meetings, resolutions, and necessary RoC filings (e.g., DIR-12, PAS-3, MGT-7, AOC 4).
• Conduct secretarial audits and manage all event-based filings in a timely manner.
• Liaise with regulatory authorities such as the Ministry of Corporate Affairs (MCA), Reserve Bank of India (RBI), and SEBI.
Legal Advisory & Transactional Support:
• Structure, negotiate, and close complex legal transactions, including equity and debt financings.
• Draft, review, and negotiate commercial contracts including vendor agreements, MoUs, NDAs, employment contracts, service agreements, SHAs, SSAs, SAFE Notes, and Convertible Instruments.
• Lead legal due diligence processes and coordinate with internal stakeholders and external counsel.
• Advise on new business initiatives, strategic partnerships, and product compliance.
Deal-Making & Investor Relations:
• Manage end-to-end legal aspects of foreign direct investment (FDI), including regulatory filings, compliance with FEMA, and closure of inbound investments.
• Act as the legal point of contact for foreign and domestic investors.
• Coordinate and manage multiple law firms representing investors and the company.
• Support cap table management, investor reporting, and post-deal compliance.
Regulatory Compliance & Risk Management:
• Monitor and ensure compliance with applicable laws including labour laws, data privacy laws, and sector-specific regulations and other applicable laws to business.
• Track regulatory updates and proactively advise senior management on legal and compliance impacts.
• Implement governance frameworks and internal policies (e.g., POSH, data protection, whistleblower policies).
Litigation & Dispute Resolution:
• Handle pre-litigation strategy, manage external counsel, and oversee ongoing litigation.
• Draft responses to legal notices and consumer or third-party disputes, ensuring alignment with company interests.
Intellectual Property Management:
• Oversee registration and protection of IP assets such as trademarks, copyrights, and domain names.
• Coordinate with external IP consultants and monitor for infringements or brand misuse.
