Job Summary
The Company Secretary (CS) will play a critical role in ensuring corporate governance and compliance with legal and regulatory requirements. This position reports directly to the Chief Financial Officer (CFO) and is responsible for managing corporate governance practices within the organization, ensuring adherence to statutory obligations, and providing guidance to the Board and management.
Responsibilities
- Ensure compliance with the Companies Act, Securities and Exchange Board of India (SEBI) regulations, Listing Obligations and Disclosure Requirements (LODR), and other applicable corporate laws.
- Manage Board Meetings, Committee Meetings, and Annual General Meetings, including preparation of agendas, notices, minutes, and resolutions.
- Handle all statutory filings and ensure timely submission of returns, disclosures, and regulatory compliances with Registrar of Companies (ROC), SEBI, and Stock Exchanges.
- Maintain statutory registers, corporate records, and secretarial documentation.
- Advise management and the Board on corporate governance, regulatory requirements, and compliance matters.
- Coordinate with statutory auditors, internal auditors, legal advisors, and regulatory authorities.
- Ensure compliance with insider trading regulations, corporate governance norms, and secretarial standards.
- Support corporate actions such as issuance of shares, dividends, Employee Stock Option Plans (ESOPs), and other Board-approved transactions, as applicable.
- Monitor changes in corporate laws and implement necessary compliance measures.
- Assist in secretarial due diligence, regulatory inspections, and other compliance-related assignments.
Qualifications
- Qualified Company Secretary (ACS/FCS).
- 4 – 9 years of post-qualification experience.
- Experience in a listed company is mandatory.
- Strong knowledge of the Companies Act, SEBI Regulations, LODR, Secretarial Standards, and corporate governance practices.
- Excellent communication, stakeholder management, and documentation skills.
Preferred Skills
- Additional certifications in corporate governance or related fields may be advantageous.
Experience
- 4 – 9 years of relevant experience in corporate secretarial functions, preferably within a listed company.
