Job Summary
The Manager – Compliance and Legal is a key managerial position responsible for ensuring the company's adherence to IFSCA (Fund Management) Regulations, SEZ compliance, and other relevant laws applicable within the GIFT City jurisdiction. This role is pivotal in assisting business teams with audits, inspection processes, and the creation of regulatory reports.
Responsibilities
- Ensure compliance with IFSCA (Fund Management) Regulations, 2025 for all activities and schemes, including timely regulatory reporting and filing.
- Monitor adherence to the Code of Conduct for the Fund Management Entity (FME) and its Key Managerial Personnel (KMP).
- Oversee compliance with the Foreign Exchange Management Act (FEMA) provisions regarding cross-border fund flows, Non-Resident Indian (NRI)/Overseas Citizen of India (OCI) investments, and foreign portfolio activities.
- Implement and maintain compliance with Special Economic Zone (SEZ) regulations and GIFT IFSC-specific operational requirements.
- Develop and enforce the Prohibition of Insider Trading (PIT) Policy, Anti-Money Laundering (AML), Counter Financing of Terrorism (CFT), and Know Your Customer (KYC) policies in alignment with regulatory mandates.
- Track and implement changes to IFSCA regulations, circulars, and guidelines promptly.
Qualifications

Educational Qualifications:
- CS (Company Secretary) qualification from the Institute of Company Secretaries of India (ICSI) is highly desirable.
- LLB or LLM specializing in securities or financial services law is an advantage.
- ICSI Certification for Compliance Officers for GIFT City.

Work Experience:
- Minimum of five (5) years of relevant experience in the securities market or financial products within an eligible institution.
- Individuals with at least three (3) years of post-qualification experience in an eligible institution in the IFSC or foreign jurisdiction, holding valid certifications, are also eligible.
- Experience in Fund Management, Mutual Funds, Portfolio Management Services (PMS), or Alternative Investment Funds (AIF) is a plus.

- Strong time management abilities.
- Excellent interpersonal and communication skills, both verbal and written.
- Capability to multitask effectively.
- Proficient in interpreting regulatory amendments.
Experience
- At least 5 years of experience in compliance or legal roles within the financial sector, ideally in relation to fund management and regulatory frameworks.
Environment
This position is based at the IFSC GIFT City, Gandhinagar, Gujarat, requiring close collaboration with internal teams and coordination with external service providers. The working environment emphasizes regulatory adherence and interaction with various stakeholders in compliance and legal functions.
