Job Summary

The Company Secretary will play a critical role in ensuring compliance with the Companies Act, SEBI regulations, and other applicable laws and regulations. This position contributes to the organization's goals by maintaining statutory records, managing regulatory filings, and supporting corporate governance initiatives.

Responsibilities

  • Ensure compliance with the Companies Act, SEBI regulations, and other applicable laws and regulations.
  • Manage statutory and regulatory filings with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), and other regulatory authorities.
  • Prepare agendas, notices, minutes, and resolutions for Board and General Meetings.
  • Maintain statutory registers, records, and corporate documentation.
  • Coordinate and support Board Meetings, Committee Meetings, and Annual General Meetings.
  • Handle matters related to corporate governance, secretarial compliance, and regulatory reporting.
  • Assist in drafting and reviewing corporate agreements, resolutions, and other legal documents.
  • Liaise with ROC, MCA, auditors, legal counsel, and other regulatory authorities.
  • Monitor changes in applicable laws and ensure timely implementation of regulatory requirements.
  • Support corporate restructuring, share transfers, allotments, fundraising, and other corporate actions as required.
  • Ensure timely completion of annual filings and other statutory compliances.

Qualifications

  • Strong knowledge of Companies Act, SEBI regulations, and corporate laws.
  • Good understanding of corporate governance and secretarial practices.
  • Strong drafting, documentation, and communication skills.
  • Ability to independently manage statutory and regulatory compliance.
  • Minimum of 2 years of relevant experience.
  • Prior experience with a listed company is preferred.

Preferred Skills

  • Experience in corporate governance frameworks and secretarial standards.
  • Familiarity with legal documentation and corporate agreements.

Experience

  • Minimum of 2 years of relevant experience, preferably in a listed company setting.

Environment
