Company Overview:

As we continue our growth trajectory, we seek a Manager / Senior Manager – Company Secretary & Legal to oversee corporate governance, and legal affairs for the entire group.
Key Responsibilities:
1. Corporate Governance & Secretarial Compliance:
- Ensure compliance with the Companies Act, 2013, SEBI regulations, and other applicable laws.
- Conduct and manage Board Meetings, Committee Meetings, and General Meetings, including preparation of agendas, minutes, and resolutions.
- Maintain Statutory Registers, Records, and Filings as per MCA & ROC requirements.
- Handle Annual Returns, Secretarial Audits, and other corporate filings.
- Ensure timely compliance with all statutory obligations under the Companies Act and allied regulations.
- Ensure adherence to corporate governance best practices within the group companies.
2. Legal & Regulatory Affairs:
- Provide legal advisory services to the business on contracts, corporate transactions, and regulatory issues.
- Draft, review, and negotiate agreements, contracts, MOUs, and legal documents.
- Manage legal compliance across all business functions, including manufacturing, sales, and operations.
- Handle litigation matters, coordinate with external legal counsels, and represent the company in legal proceedings.
- Ensure compliance with labor laws, employment regulations, and other statutory requirements.
3. Mergers, Acquisitions & Corporate Restructuring:
- Assist in corporate restructuring, M&A, joint ventures, and due diligence activities.
- Ensure compliance with FDI, FEMA, and other regulatory frameworks related to corporate transactions.
- Provide legal support for capital raising, investor relations, and business expansion initiatives.
4. Risk Management & Compliance:
- Identify legal risks and propose mitigation strategies.
- Implement and monitor internal policies, procedures, and risk management frameworks.
- Work closely with the Finance & HR teams to ensure ethical corporate practices and compliance.
5. Coordination with External Stakeholders:
- Liaise with Regulatory Bodies, External Legal Counsels, Auditors, Consultants, and Industry Associations.
- Represent the company in legal forums, tribunals, and government agencies.
Key Skills & Competencies:
✔ Expertise in Corporate Laws (Companies Act, SEBI, FEMA, RBI, IPR, and other regulatory frameworks).
✔ Strong knowledge of Litigation & Contracts Management.
✔ Excellent drafting, negotiation, and communication skills.
✔ Detail-oriented and highly organized in handling compliance and governance matters.
✔ Strategic mindset with the ability to foresee legal risks and recommend proactive solutions.
✔ Ability to work with cross-functional teams and manage multiple stakeholders.
✔ Experience in handling M&A transactions, IPOs, and corporate restructuring (preferred).
Qualifications & Experience:
- Qualified Company Secretary (CS) from ICSI (Institute of Company Secretaries of India).
- LLB (Bachelor of Law) / LLM (Master of Law) will be an added advantage.
- 10+ years of experience in a similar role, preferably in the pharmaceutical, healthcare, or manufacturing industry.
- Experience handling multiple group companies and diverse business operations.
