<div>ndustry Exposure: Listed companies, capital markets, financial services (Listed Company, PMS, AIF, Asset Management, Wealth, NBFC preferred) Role Summary: We are looking for an experienced and proactive Group Company Secretary to lead the corporate governance, compliance, and regulatory functions across our diversified businesses — Portfolio Manager Services, AIF, Asset Management, Wealth Management, and GIFT City operations. The ideal candidate brings proven experience in handling IPOs, regulatory filings, SEBI/IRDA/RBI compliance, and has worked with listed companies or played a key role in taking companies public. Key Responsibilities: Act as the Designated Company Secretary at Group/Holding Co. level ensuring seamless compliance and governance. Manage board meetings, AGMs, committee coordination, and stakeholder communication across all group companies. Lead end-to-end IPO support and liaise with regulators, merchant bankers, and legal counsel during capital market transactions. Ensure compliance with SEBI, RBI, MCA, IRDAI, IFSCA and other statutory bodies applicable to PMS, AIF, Asset Management, Wealth, and GIFT City operations. Maintain all statutory records and filings in accordance with the Companies Act, SEBI Listing Regulations, and other relevant laws. Advise management on corporate restructuring, intercompany transactions, and regulatory risks. Implement best practices in corporate governance, disclosure standards, and internal controls across business units. Serve as a key interface between the board and executive teams; ensure timely, accurate, and compliant board reporting. Ideal Candidate Profile: Qualified Company Secretary (ACS/FCS) with 10–15 years of experience in the BFSI or listed company ecosystem. Exposure to handling IPOs or preparing companies for listing. Strong grasp of compliance and governance across SEBI-regulated entities and knowledge of cross-border frameworks like GIFT City. Excellent communication, drafting, and stakeholder management skills. Energetic, detail-oriented, and able to work across group entities with high integrity and ownership.
