Job Summary
The Company Secretary plays a crucial role in managing corporate governance, ensuring statutory compliance, overseeing board processes, and handling regulatory filings. This position supports senior management with governance and legal matters while ensuring adherence to the Companies Act and other regulations, contributing to the organization’s integrity and operational effectiveness.
Responsibilities
- Ensure compliance with the provisions of the Companies Act, Foreign Exchange Management Act (FEMA), Securities and Exchange Board of India (SEBI) regulations, and other statutory requirements.
- Prepare and maintain statutory registers, records, and corporate documentation.
- Organize and manage Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Draft agendas, notices, minutes, resolutions, and other board-related documents.
- Handle annual filings, event-based filings, and other regulatory submissions with the Registrar of Companies (ROC) and relevant authorities.
- Coordinate with auditors, legal advisors, regulators, and other stakeholders.
- Monitor changes in regulatory requirements and advise management on compliance implications.
- Support fundraising, due diligence, corporate restructuring, mergers, acquisitions, and other strategic transactions.
- Manage secretarial audits and ensure timely closure of audit observations.
- Assist in drafting and reviewing contracts, policies, and governance frameworks.
- Ensure adherence to corporate governance best practices across the organization.
Qualifications
- Qualified Company Secretary (Member of the Institute of Company Secretaries of India - ICSI).
- 3–8 years of experience in corporate secretarial, compliance, or governance functions.
- Strong knowledge of the Companies Act, 2013, FEMA, and corporate laws.
- Experience in handling board processes, regulatory filings, and statutory compliance.
- Excellent drafting, communication, and stakeholder management skills.
- Proficiency in MCA filings and compliance management tools.
- Ability to manage multiple priorities in a fast-paced environment.
Preferred Skills
- Experience with startups, venture capital/private equity-backed companies, listed entities, or large corporate groups.
- Exposure to fundraising transactions, Employee Stock Option Plan (ESOP) administration, and corporate restructuring.
- Familiarity with SEBI regulations and secretarial audits.
Experience
- 3–8 years of relevant experience in corporate secretarial, compliance, or governance functions.
