Job Description
Governance and Compliance:
- Ensure the company complies with all statutory requirements and regulatory guidelines (FEMA, RBI, Companies Act, etc).
- Oversee the company’s governance framework, ensuring board practices meet best standards.
- Maintain the company’s statutory registers and records (e.g., register of directors, shareholders, etc.).
- File necessary statutory forms, annual returns, and other documents with regulatory bodies.
2. Board and Committee Support:
- Organize and prepare agendas, papers, and reports for board and committee meetings.
- Attend board meetings and record accurate minutes.
- Advise the board on matters of corporate governance, regulatory changes, and statutory requirements.
- Facilitate communication between the board of directors, shareholders, and other stakeholders.
3. Corporate Communication:
- Act as the main point of contact for shareholders and ensure that shareholder records are maintained.
- Coordinate and manage the Annual General Meeting (AGM), including preparing necessary documentation and communications.
- Liaise with external regulators, auditors, and legal advisors to ensure the company operates within the law.
4. Risk Management:
- Monitor changes in relevant legislation and regulation and ensure the board and management are informed.
- Assist in the identification and management of corporate risks, ensuring proper reporting to the board.
- Provide legal and administrative support on various corporate matters including mergers, acquisitions, or partnerships.
