Job Description
Secretarial compliances relating to listed company, including filing of necessary documents with
<p> </p> MCA, SEBI, Stock Exchanges and any other statutory body <p> </p> • Incorporation of Companies and LLPs, conversion of Companies. <p> </p> • Managing Shareholders records <p> </p> • An issue, allotment of securities including preferential allotment, transfer, and transmission of <p> </p> securities. <p> </p> • Handling Statutory Compliances, Corporate Governance related issues. <p> </p> • Analysis and interpretations of various critical provisions of Companies Act and other corporate <p> </p> laws. <p> </p> • Advising the Board and top Management on the financial transactions and on their impact, <p> </p> considering the Companies Act-related provisions. <p> </p> • Drafting of Notice, Directors’ Report, Corporate Governance and Management Discussion Analysis <p> </p> Report, including various statements to be filed with SEBI, etc. <p> </p> • Managing Board Meetings, AGM, EGMs and compliance related thereto. <p> </p> • Related Party transactions analysis and ensuring compliances related thereto. <p> </p> • To act as Custodian of Statutory records and other important documents <p> </p> • Dematerialization / Rematerialisation of securities. <p> </p> • Creation, modification, and satisfaction of Charges. <p> </p> • Compounding under Companies Act, 1956. <p> </p> • Preparing and updating various statutory records/registers under the Companies Act. <p> </p> • E-filing of various forms including XBRL filing with MCA. <p> </p> • Filing petition(s) to National Company Law Tribunal (NCLT) on Company Law matters. <p> </p> • Thorough understanding of the provisions of Companies Act 2013 and LODR requirements<br />
