The company operates under the Government of India’s SATAT initiative, contributing to clean energy, sustainability, and rural development. Role Summary The General Counsel will act as the primary legal advisor to the leadership team, managing all legal matters across corporate and project operations, including sites in Abdasa (Kutch) and Ahmedabad. The role involves handling regulatory compliance, commercial contracts, and project finance within the renewable energy sector. Key Responsibilities 1. Strategic Legal Advisory and Corporate Governance ● Provide legal guidance on corporate strategy, expansion, and business development. ● Ensure compliance with the Companies Act and manage board-level legal documentation. ● Handle corporate restructuring, joint ventures, and entity formation. 2. Regulatory and Environmental Compliance ● Manage compliance requirements under the SATAT initiative. ● Ensure adherence to PNGRB and MNRE regulatory frameworks. ● Oversee environmental compliance including Pollution Control Board approvals, waste management licenses, and environmental impact assessments. 3. Contract Management and Commercial Law ● Draft, review, and negotiate key commercial agreements, including: ● Offtake agreements with Oil Marketing Companies (OMCs) and CGD networks ● Feedstock procurement agreements ● EPC (Engineering, Procurement, and Construction) contracts ● O&M (Operations and Maintenance) agreements ● Land lease and acquisition contracts 4. Project Finance and Risk Management ● Support financing activities including debt and equity transactions. ● Review loan agreements, security documentation, and lender compliance requirements. ● Identify and mitigate legal risks across the project lifecycle. 5. Litigation and Intellectual Property ● Manage litigation, arbitration, and dispute resolution matters. ● Oversee protection of intellectual property, including trademarks and proprietary technologies.
