Job Summary
The Company Secretary will be responsible for managing all corporate secretarial and legal matters, ensuring compliance with statutory requirements, and supporting the Board in governance practices. The role includes handling board meetings, drafting minutes, maintaining statutory records, and overseeing legal and regulatory compliance.
Responsibilities

Corporate Secretarial Functions
- Ensure compliance with the Companies Act, applicable corporate laws, and regulations.
- Ensure compliance with FEMA regulations, RBI guidelines, and other applicable foreign exchange and regulatory requirements.
- Coordinate and manage RBI filings, FEMA reporting, FCGPR/FCTRS filings, ECB compliances, ODI compliances, and related documentation, wherever applicable.
- Maintain statutory registers, records, and corporate documentation.
- Prepare and file returns, forms, and disclosures with regulators.
- Manage corporate actions such as incorporation, changes in directors, shareholding, etc.

Board & Committee Management
- Organize Board Meetings, Committee Meetings, AGMs, and EGMs.
- Prepare agendas, board notes, and resolutions.
- Record and maintain accurate minutes of meetings.
- Ensure timely follow-up on decisions and action points.
- Advise Directors on governance and compliance matters.

Legal & Compliance
- Monitor legal and regulatory changes and ensure timely company compliance.
- Draft, review, and vet contracts, agreements, and legal documents.
- Coordinate with Authorized Dealer (AD) Banks, RBI authorities, and consultants for regulatory approvals and reporting requirements.
- Coordinate with external legal counsel and regulatory authorities.
- Assist in handling litigation, notices, and legal risk management.

Corporate Governance
- Implement and maintain corporate governance standards.
- Support the development of policies and compliance frameworks.
- Ensure ethical practices and internal control systems.

Regulatory & Stakeholder Management
- Liaise with regulators (ROC, SEBI, etc.), auditors, and consultants.
- Manage shareholder relations and communications.
- Support AGM documentation including notices and annual reports.

Documentation & Record Keeping
- Maintain custody of corporate records, statutory books, and legal documents.
- Ensure proper documentation and archiving of board decisions.
Qualifications

Education
- Qualified Company Secretary (ICSI mandatory)
- LLB preferred (not mandatory but advantageous)

Experience
- 5 to 7 years of relevant experience in corporate secretarial and legal functions.
- Experience in handling Board/Committee Meetings and statutory compliance independently.
- Experience in handling FEMA and RBI compliances including foreign investment reporting, ECB compliances, and liaison with AD Banks is preferred.
- Exposure to listed company compliance (preferred but optional).
