Principal Manager/Legal Counsel - Global Contracts, Compliance & Corporate Governance

Job Summary
We are seeking a smart, senior, highly operational leader who can take end-to-end ownership of global contracts, legal operations, statutory compliance, and corporate governance. This role is critical for overseeing client Master Service Agreements (MSAs) & Statements of Work (SOW) governance, commercial contracting, legal and compliance checks, statutory audits, regulatory filings and renewals, corporate insurance, contract hygiene, and global entity compliance across multiple regions. This position offers immense learning exposure across multi-country compliance systems and direct visibility with senior leadership, including the CEO.
Responsibilities

Contracting & Legal Operations
- Own the end-to-end lifecycle of MSAs, SOWs, Non-Disclosure Agreements (NDAs), Letters of Intent (LOIs), vendor agreements, and all commercial contracts.
- Ensure contracts across geographies are accurate, compliant, risk-mitigated, and up-to-date.
- Track contract expiries, renewal timelines, obligations, indemnities, liabilities, and Service Level Agreements (SLAs).
- Draft, review, and negotiate client and vendor agreements in collaboration with leadership.
- Maintain a central repository with version control, audit trails, and access governance.

Statutory Compliance - India & Global
- Oversee all Indian statutory compliances, including Companies Act, Shops & Establishment, PF/ESIC, labor regulations, and payroll compliance.
- Collaborate with local consultants for regulatory compliance across international entities in the US, UAE, Saudi Arabia, Eastern Europe, Singapore, and the UK.
- Act as the internal custodian of compliance calendars and renewal checkpoints.
- Manage Delaware corporation and federal/state compliance and annual filings for the US.
- Ensure regulatory compliance regarding licensing and labor laws in UAE and Saudi Arabia.

Corporate Health, Audit & Risk Management
- Lead internal and external audits, including statutory, financial, contractual, and operational audits.
- Maintain corporate policies, insurances, indemnities, and governance frameworks.
- Conduct regular health checks on entity documentation, board resolutions, and compliance documentation.
- Ensure that StatusNeo is always audit-ready with 100% documentation hygiene.

Employee Compliance, Policies & Grievance Governance
- Oversee employee legal matters, including employment contracts, benefits compliance, onboarding, exits, grievances, and disciplinary processes.
- Maintain global employee-related governance frameworks aligned with local laws.

Operational Excellence & Systems
- Build dashboards for contract movements, compliance trackers, expiry alerts, and audit readiness.
- Collaborate with HR, Finance, Delivery, and Leadership to define maker-checker processes.
- Run quarterly governance reviews for all global entities.

Leadership & Stakeholder Collaboration
- Work closely with CEO, CFO, COO, HR, Delivery Heads, and regional leaders.
- Liaise with external legal counsels, government agencies, auditors, consultants, and statutory bodies.
- Provide concise legal and compliance updates to management with practical recommendations.
Qualifications
- Experience: 10 - 18 years in contracts management, legal operations, compliance, or corporate governance roles.
- Industry Exposure: Strong exposure to IT, Technology, or Consulting global businesses.
- Skills:
- Hands-on experience with contract drafting, negotiations, compliance laws, audits, and filings.
- Ability to handle complex multi-country compliance structures maturely.
- Educational Requirement: Law degree (LLB or equivalent).

- Strong commercial contracting and governance expertise.
- Excellent documentation and audit readiness discipline.
- Ability to work fast, accurately, and independently.
- High-level communication and stakeholder management skills.
Experience
