Job Summary
The Finance Controller (CA) will be responsible for overseeing the financial operations of the organization, ensuring compliance with statutory requirements, managing ESOP and cap table activities, and providing strategic financial insights. This role requires a proactive, hands-on professional with strong expertise in accounting, taxation, legal review, and financial planning, contributing to the organization’s growth and operational efficiency.
Responsibilities

ESOP & Cap Table Management
- Manage and maintain the company's ESOP records and cap table, ensuring accuracy and timely updates.
- Oversee ESOP grants, exercises, vesting, transfers, and related documentation.
- Coordinate with legal, finance, and other stakeholders on ESOP-related matters.
- Ensure appropriate accounting, tax, and compliance treatment of ESOP transactions.

Accounting & Financial Close
- Take ownership of bookkeeping and accounting activities.
- Oversee monthly, quarterly, and annual financial closure processes.
- Review and ensure completeness of all closure entries, provisions, accruals, reconciliations, and adjustments.
- Work closely with statutory auditors and manage audit requirements, queries, schedules, and supporting documentation.
- Ensure timely preparation and review of financial statements and Management Information Systems (MIS).

Tax & Statutory Compliance
- Oversee direct and indirect tax compliances, coordinating with external tax advisors as needed.
- Ensure timely statutory filings and regulatory compliance.
- Monitor changes in tax laws and regulations, assessing their impact on the business.
- Support tax audits, assessments, notices, and other regulatory matters.

International Tax, FEMA & Structuring
- Develop understanding of international taxation, FEMA regulations, and cross-border transactions.
- Assist in evaluating international transactions, remittances, investments, and compliance.
- Collaborate with legal and tax advisors on entity and transaction structuring.
- Ensure proper documentation and compliance for cross-border activities.

Legal & Contract Review
- Review service agreements, commercial contracts, and other business agreements from a financial, commercial, and risk perspective.
- Coordinate with legal counsel for review and negotiations.
- Identify key financial, tax, and compliance implications in agreements.

Financial Analysis & Planning
- Support financial planning, budgeting, forecasting, and management reporting.
- Analyze financial performance, costs, cash flows, and key business metrics.
- Provide actionable insights to management for decision-making.
- Identify opportunities for process improvements, cost optimization, and enhanced financial controls.
Qualifications
- Educational Qualification: Chartered Accountant (CA)
- Technical Skills:
- Strong hands-on experience in accounting, financial closure, and audit coordination
- Expertise in statutory compliance and taxation
- Knowledge of ESOPs, cap table management, and related legal documentation
- Understanding of international taxation, FEMA, and cross-border transactions
- Ability to review contracts from a financial and commercial perspective
- Proficiency in financial analysis, budgeting, and forecasting
- Familiarity with regulatory requirements and compliance management
- Excellent stakeholder management and communication skills
