Excellent drafting skill and</p> <p>professional communication is a must.</p> <p><b>JOB DESCRIPTION &ndash; COMPANY SECRETARY</b>Role and responsibilities</p> <p>1. Compliance priorities:</p> <p> Timely preparation of Agenda and notice of Board /General Meetings</p> <p> Minutes of Companies &amp; Trusts: Completion of minutes from Drafting, till getting them signed and</p> <p>maintaining them physically and digitally.</p> <p> Drafting of resolutions and circular resolutions</p> <p> Send out notice of Board and General meetings to the Directors and conducting of Board meeting.</p> <p>(Physically and through VC).</p> <p> Update all Statutory Registers and other records, data to be maintained as per Companies Act and</p> <p>filing of statutory forms.</p> <p> Preparation, verification, certification and uploading of various forms and returns under the</p> <p>provisions of the Companies Act, 2013.</p> <p> Provide assistance in Annual filing &amp; XBRL filing of accounts and during Audit.</p> <p> Coordinate with external consultants for matters before the NCLT/ ROC,/High Court</p> <p> Proactively advise for any Good Corporate Governance practices, on newRole and responsibilities</p> <p>regulations, exemptions.</p> <p> Assist / manage RBI filings such as FC-GPR, FC-TRS, FLA etc and coordinating with Ad bankers.</p> <p> Coordinate with RTA and NSDL for executing documents for various corporate actions.</p> <p> Manage compliance of Trusts &amp; Societies.</p> <p> Prepare Board reports and other documents related to pre AGM &amp; AGM .</p> <p> Ensure that the Company complies with Secretarial Standards, Statutory obligations, laws,</p> <p>regulation and policies and new Amendments.</p> <p> Coordinate with various consultants &amp; vendors</p> <p>2. Working knowledge of legal concepts and documents &ndash; such as POA, indemnities, declarations is</p> <p>desirable</p> <p>3.
