Job Description
Job Responsibilities:
- Compliances under Companies Act 2013/ SEBI / LODR /ICDR guidelines.
- Ensure compliance of the provisions of Companies Act, 2013, Secretarial Standards and rules made under, SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015
- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.
- Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
- Handle Work relating to Incorporation of Companies, Change of Articles, Memorandum, Change of registered office etc.
- Day-to-day normal company secretarial and compliance operations Coordinate, schedule and organize Board and Audit Committee meetings.
- Track regularly audit requirements of all jurisdictions.
- Review and maintain corporate records of all subsidiaries.
- Update relevant teams of the entities about changes in statutory requirements/ due dates.
- Ensure timely filings done by entities and maintain the records.
- Prepare corporate secretarial documents on matters like capital restructuring, statutory filing, and annual reports.

- Ensure that company complies with all applicable codes to its legal and statutory requirements.
Requirements:
- CS qualification
- Significant experience in as CS in a listed company.
- Well-versed in statutory requirements and regulations.
- Conversant with all aspects of Companies Act, 2013, Secretarial Standards and rules made there under, SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015,
- SEBI (Prevention of Insider Trading) Regulations, SEBI (Substantial Acquisition of Shares and Takeover) Regulation, 2011 and other listing compliances.
- Well versed with various RBI compliances
- Filing of various returns
