Job Summary

The Company Secretary will be a vital member of the Secretarial team responsible for ensuring corporate governance and regulatory compliance within a listed organization. This role encompasses a collaborative opportunity to work with senior leadership, focusing on delivering high standards in corporate governance practices.

Responsibilities

• Prepare board packs, including agenda and minutes for Board and Committee meetings.
• Ensure compliance with applicable corporate governance requirements, statutory regulations, the Companies Act, and internal policies.
• Support secretarial coordination with regulators and key stakeholders.
• Address regulatory aspects governing Employee Stock Option Plans (ESOPs) and ensure compliance with Securities and Exchange Board of India (SEBI) regulations, coordinating with internal teams and external service providers.
• Maintain statutory records, filings, and documentation in a timely and accurate manner.

Qualifications

• Membership of the Institute of Company Secretaries of India (ICSI).
• Graduate in Commerce, Law, Management, or a related discipline.
• Relevant post-qualification experience in corporate secretarial, governance, and compliance functions, preferably in the Insurance or Financial Services sector.

Preferred Skills

• 10+ years of post-qualification experience, preferably in a listed company.
• Strong understanding of corporate laws, governance practices, and regulatory frameworks.
• Excellent communication, coordination, and documentation skills.

Experience

• Minimum of 10 years of relevant post-qualification experience.
