Job Summary

The Qualified Company Secretary will be responsible for ensuring statutory compliance and facilitating the smooth functioning of the company’s governance structure. This role involves significant interaction with various stakeholders and requires meticulous attention to detail to meet legal regulations and corporate governance practices.

Responsibilities

  • Handle day-to-day secretarial and statutory compliance of the company.
  • Assist in convening, documenting, and maintaining minutes for Board Meetings, Committee Meetings, and General Meetings.
  • Prepare and file ROC forms, maintain statutory registers, and keep compliance calendars updated.
  • Coordinate with internal teams on various corporate, legal, and compliance-related matters.
  • Liaise and coordinate with Depository Participants (DPs), Registrar & Transfer Agents (RTA), NSDL/CDSL for corporate actions and compliance.
  • Assist in share allotments, transfers, transmission, dematerialization, and other corporate actions.

Qualifications

  • Education: Qualified Company Secretary (Member of ICSI).
  • Experience: Minimum 2 years of post-qualification experience in corporate secretarial practice.
  • Strong working knowledge of the Companies Act, 2013, SEBI regulations, FEMA, and allied corporate laws.
  • Hands-on experience in secretarial compliance, ROC filings, and corporate governance.
  • Good communication and coordination skills.

Preferred Skills

  • Experience with corporate governance frameworks and internal policies.
  • Ability to work effectively in a team-oriented environment.

Experience

Minimum of 2 years of post-qualification experience in corporate secretarial practice is required.

Environment

This position is based in Bangalore, Karnataka, at the company's registered office, and may involve interaction with external regulatory bodies and corporate stakeholders.

Salary
