<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Ensure end-to-end compliance with the Companies Act, 2013, FEMA, and allied laws.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Draft, review, and maintain statutory records, including minutes of Board and General Meetings, resolutions, and necessary RoC filings (e.g., DIR-12, PAS-3, MGT-7, AOC 4).</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Conduct secretarial audits and manage all event-based filings in a timely manner.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Liaise with regulatory authorities such as the Ministry of Corporate Affairs (MCA), Reserve Bank of India (RBI), and SEBI.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif""><b>Legal Advisory & Transactional Support:</b></span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Structure, negotiate, and close complex legal transactions, including equity and debt financings.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Draft, review, and negotiate commercial contracts including vendor agreements, MoUs, NDAs, employment contracts, service agreements, SHAs, SSAs, SAFE Notes, and Convertible Instruments.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Lead legal due diligence processes and coordinate with internal stakeholders and external counsel.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Advise on new business initiatives, strategic partnerships, and product compliance.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif""><b>Deal-Making & Investor Relations:</b></span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Manage end-to-end legal aspects of foreign direct investment (FDI), including regulatory filings, compliance with FEMA, and closure of inbound investments.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Act as the legal point of contact for foreign and domestic investors.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Coordinate and manage multiple law firms representing investors and the company.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Support cap table management, investor reporting, and post-deal compliance.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif""><b>Regulatory Compliance & Risk Management:</b></span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Monitor and ensure compliance with applicable laws including labour laws, data privacy laws, and sector-specific regulations and other applicable laws to business.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Track regulatory updates and proactively advise senior management on legal and compliance impacts.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Implement governance frameworks and internal policies (e.g., POSH, data protection, whistleblower policies).</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif""><b>Litigation & Dispute Resolution:</b></span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Handle pre-litigation strategy, manage external counsel, and oversee ongoing litigation.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Draft responses to legal notices and consumer or third-party disputes, ensuring alignment with company interests.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif""><b>Intellectual Property Management:</b></span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Oversee registration and protection of IP assets such as trademarks, copyrights, and domain names.</span></span></span></p>
<p style="margin-bottom:13px"><span style="font-size:11pt"><span style="line-height:115%"><span style="font-family:Calibri,"sans-serif"">• Coordinate with external IP consultants and monitor for infringements or brand misuse.</span></span></span></p>
