Job Summary

The Legal – AVP will play a critical role in managing legal documentation, ensuring compliance with applicable laws and regulations, and supporting the company's supply chain financing operations. The role involves drafting, reviewing, and negotiating various legal agreements, conducting legal research, and liaising with external legal counsel to facilitate smooth transaction execution and regulatory adherence.

Responsibilities

  • Draft, review, vet, and negotiate Business Correspondent (BC) agreements, DSA agreements, and related onboarding documentation.
  • Prepare and review facility agreements (secured/unsecured), co-lending agreements, and Service Level Agreements (SLAs).
  • Draft and negotiate hypothecation deeds, guarantees, DPNs (Demand Promissory Notes), NDAs, and other ancillary legal documents.
  • Review constitutional documents and authorizations for lending transactions.
  • Conduct legal research and monitor updates on regulations impacting NBFC operations, including RBI Master Directions, outsourcing guidelines, and co-lending regulations.
  • Liaise with external counsel, law firms, and consultants to obtain legal support for transactions.
  • Assist in maintaining organized documentation systems and records for legal and compliance purposes.

Qualifications

  • Educational Qualification: LLB / LLM
  • Experience: 7 – 8+ years post-qualification experience in Banking, NBFC, or Financial Services sectors.
  • Technical Skills:
    • Extensive experience in Supply Chain Finance documentation.
    • Strong knowledge of co-lending structures and agreements.
    • Proficiency in bilateral loan and security documentation.
    • Experience reviewing Business Correspondent (BC) agreements and DSA agreements.
    • Deep understanding of relevant laws including:
      • Companies Act
      • Indian Contract Act
      • Sale of Goods Act
      • Transfer of Property Act
      • Principles of Hypothecation
      • Insolvency and Bankruptcy Code (IBC)
      • SARFAESI Act
    • Familiarity with RBI Master Directions applicable to NBFCs, outsourcing, and co-lending guidelines.
  • Legal Skills:
    • Strong drafting, negotiation, research, and analytical skills.
    • Excellent communication skills and attention to detail.
    • Tech-savvy mindset with proficiency in legal research tools and documentation management.

Preferred Skills

  • Prior experience working with external law firms and legal consultants.
  • Knowledge of ESG compliance and technology-driven legal processes.
  • Familiarity with regulatory updates and legal frameworks specific to fintech and NBFC sectors.

Experience

  • 7 to 8+ years of relevant legal experience in banking, NBFC, or financial services, with a focus on supply chain finance and lending documentation.
