Associate / Senior Associate - Corporate Compliance, Secretarial Practice & Commercial Contracts

Job Summary
The Associate / Senior Associate will be an integral part of our corporate and compliance team, managing matters across secretarial compliance, FEMA and RBI regulatory advisory, as well as commercial contract drafting and negotiation. The role facilitates exposure to complex mandates and an opportunity to work closely with Partners on multi-jurisdictional client matters.
Responsibilities

Corporate Secretarial & Companies Act Compliance
- Advise and assist clients on compliance under the Companies Act, 2013, including board and general meeting procedures, statutory registers, MCA filings, and maintenance of secretarial records.
- Draft and review board resolutions, special resolutions, explanatory statements, notices, and minutes for meetings of boards and shareholders.
- Conduct secretarial audits and prepare Secretarial Audit Reports (MR-3) in accordance with applicable rules and ICSI guidelines.

FEMA, FDI & Cross-Border Regulatory Compliance
- Advise clients on inbound and outbound foreign investment transactions under the Foreign Exchange Management Act, 1999 (FEMA) and applicable RBI regulations.
- Handle FDI reporting compliances including filing FC-GPR, FC-TRS, and other relevant forms with the RBI through the FIRMS portal.

Commercial & Transactional Matters
- Review corporate records, secretarial compliance, and regulatory filings as part of legal due diligence.
- Draft, review, and negotiate commercial agreements, including MSAs, vendor contracts, IP licensing, and NDAs.
Qualifications

Essential Qualifications
- Associate/Fellow Member (ACS/FCS) of the Institute of Company Secretaries of India (ICSI).
- LLB or integrated law degree (BA LLB / BBA LLB / B.Com LLB) from a recognised institution.

Experience Requirements
- 3 – 5 years of post-qualification experience in a law firm or CS firm with demonstrated exposure to relevant responsibilities.
- Hands-on experience with FEMA/RBI compliance filings and substantial involvement in due diligence exercises (M&A, private equity, or fundraising).
Preferred Skills
- Exposure to SEBI regulations (LODR, ICDR, Takeover Code), NCLT proceedings, DPDP Act/IT Act compliance.
- An LLM in corporate/commercial law would be advantageous.
Experience
- 3-5 years of post-qualification experience is required, with a preference for experience in a law firm or a combination of law and CS firms.
Environment
The position is located in Gurgaon, India, and is full-time on-site.
