Job Summary
The Chief Financial Officer (CFO) will lead the full finance mandate within a listed aerospace, defence, and deep tech company with a global presence across six countries. This role is pivotal in driving strategic planning, financial reporting, capital markets, mergers and acquisitions (M&A), governance, and investor relations. The CFO will work closely with the leadership team and the Board of Directors to ensure alignment with business objectives.
Responsibilities

Strategy Planning and Execution
- Lead financial strategy in alignment with business growth and capital allocation priorities.
- Manage annual business planning and performance across the organization.
- Collaborate with the leadership team to translate strategies into measurable financial outcomes.
- Drive capital allocation across growth initiatives and strategic opportunities.
- Evaluate, structure, and execute M&A, divestments, joint ventures, and partnerships.

M&A and Corporate Finance
- Structure, negotiate, and execute acquisitions and divestitures.
- Lead equity fundraising efforts including Qualified Institutional Placements, rights issues, and strategic placements.
- Drive valuation discipline and oversee post-merger integration processes.

Finance & Reporting
- Own financial reporting and compliance with Indian Accounting Standards (Ind AS).
- Oversee treasury management, foreign exchange management, and banking relationships.
- Manage debt fundraising, credit rating processes, and working capital structures.
- Supervise tax strategy, compliance, and transfer pricing.

Investor Relations and Capital Markets
- Lead investor relations for institutional investors and capital market stakeholders.
- Manage external financial guidance and maintain credibility in market communication.
- Shape the equity story and maintain market confidence through timely disclosures.

Corporate Governance
- Strengthen governance and internal controls while managing enterprise risk.
- Oversee global entity structures, governance, and contracts.

Digital Finance
- Oversee ERP and digital finance transformation initiatives.
- Build and lead high-performance finance and secretarial teams.
Qualifications

Educational Background
- Chartered Accountant (CA) from the Institute of Chartered Accountants of India (ICAI) – mandatory.
- Preferred additional qualifications: Certified Management Accountant (CMA), Company Secretary (CS), MBA (Finance), Chartered Financial Analyst (CFA), or equivalent.
- Enterprise Risk Management certification is advantageous.

Experience
- 25+ years of progressive finance leadership, with a minimum of 5 years as CFO in an Indian listed company.
- Mandatory exposure to both services and manufacturing organizations.
- Proven track record in listed entities with strong fluency in SEBI and capital markets.
- Demonstrated experience in M&A execution, both domestic and cross-border.
Preferred Skills
- Experience within the aerospace, defence, engineering services, or adjacent high-precision sectors is preferred.
- The ideal candidate would be in their late 40s to early 50s.
Experience
- A minimum of 25 years of progressive finance leadership experience, including significant experience as a CFO in a listed company.
Environment
- Based in Bengaluru or willing to relocate (relocation support available). Must be comfortable working in a high-pressure, strategic environment requiring interaction with executive leadership and board members.
