Infinyte Club Legal and Compliance We are looking for an exceptional and experienced professional with compliance, legal and transaction background to help our customers with legal, transaction and secretarial matters. This is a highly unique role that lies at the intersection of Legal x Secretarial x Transaction operation x Product. Unlike most setups, this is not a growth lever for us, this is absolutely core to our business. You are someone with experience in the financial services/ PE/ VC space or have experience in M&A / transaction advisory in startups. You have hands-on experience and in-depth understanding of all secretarial and legal functions with respect to fundraising, managing equity grants (ESOPs/ other similar instruments), and general corporate matters for companies operating out of India, US, and Singapore. The ideal candidate is someone with expertise in venture capital financing and is excited about bringing their depth of experience and an execution mindset to a fast-growing company. Regulatory expertise is essential for this role, which will also require comfort across various areas and applications of law and general corporate matters. This person will work closely with our tteam across functions and levels with a high degree of autonomy and agency. Job Description ● Managing transaction execution with a consumer mindset. Work closely with business teams, functional experts (legal, tax, compliance etc) to enable primary and secondary PE transactions. ● Provide subject matter expertise across secretarial, legal, fundraising and matters related to equity grants (ESOPs/SAR/RSUs) ● Working with cross-functional teams (tech/product/ business) helping them to embed compliance processes and related documentation into products by breaking down the transaction journey into granular steps. ● Manage in-house secretarial compliance and legal work streams. ● Implement and drive primary and secondary transaction operations through SOPs. Requirements ● Bachelor degree in Law or qualified CS with about 2 to 5 yrs of experience ○ Outstanding track record of academic achievement with excellent communication skills ○ Experience in (a) transactions including M&A/equity investments, or (b) working experience with top-tier legal firm/ CS Firm/ PE or VC funds/ Indian startups - Fintech/Alternate investment platform, would be an advantage ● Understands the nitty gritty of executing a transaction (such as documentation, compliances, related timelines etc.) ● Expertise in Corporate Law, FEMA, SEBI and practical knowledge of securities and regulatory compliance Infinyte Club ● Familiarity with aspects of VC deal-making (from due diligence to deal structuring, negotiating key terms, reviewing legal documentation, and post-close deal management); ● Passionate about early-stage investing, technology, and start-ups ● Temperament to work in cross-functional teams and ability to interact and coordinate with other businesses, teams, and individuals for execution ● Ability to work under pressure in a fast-paced, innovative, rapidly changing start-up business environment and getting up to speed in new areas of law comfortably, quickly and effectively.
