Job Description

Key Responsibilities

  1. Company Secretary (70%)

    Board and Committee Management:

     Independently manage and convene all Board, Committee (Audit, Nomination & Remuneration, etc.), and General Meetings for GSL and its subsidiaries.
     
     
     Prepare and circulate agendas, board packs, and supporting documents in a timely manner.
     
     
     Draft, circulate, and sign off on minutes, and ensure all action items are tracked to completion.
     
    

    Statutory & Regulatory Compliance:

     Ensure complete compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and other relevant corporate laws. Coordinate with stock exchange for disclosures. 
     
     
     Manage all filings with the Ministry of Corporate Affairs (MCA), Stock Exchanges (NSE/BSE), and other regulatory bodies.
     
     
     Ensure  compliance on related party transaction policy , whistleblower framework. 
     
     
     Manage secretarial audit and certification.
     
    

    Corporate Governance & Shareholder Relations:

     Act as a key advisor to the Board of Directors on all matters of corporate governance, ethics, and best practices.
     
     
     Manage all shareholder communications, queries, and grievances, overseeing dividend payments, share transfers, and dematerialization.
     
    
  2. Compliance Officer (30%)

    Regulatory Liaison & Reporting:

     Take strict ownership of all dealings, licensing, and compliance with the Food Safety and Standards Authority of India (FSSAI).
     
     
     Serve as the designated, primary point of contact for the Ministry of Environment, Forest and Climate Change (MOEFCC).
     
     
     Serve as the primary liaison for other state excise authorities, regulatory bodies, and external auditors on compliance matters.
     
    

    Compliance Framework & Risk Management:

     Develop, implement, and maintain the company's overall compliance framework across our distilleries in Rajasthan, Haryana, West Bengal, Bihar, Jharkhand, and UP.
     
     
     Conduct periodic internal reviews and audits to ensure compliance procedures are effective.
     
     
     Proactively identify potential areas of compliance vulnerability (environmental, food safety, corporate) and implement corrective action plans.
