Job Summary
We are looking for an experienced and strategic Company Secretary & Compliance Officer to lead the organization’s corporate governance, secretarial compliance, fundraising transactions, ESOP management, and IPO/listing readiness initiatives. The incumbent will play a critical role in supporting the organization’s governance framework, investor compliance, strategic fundraising activities, and transition towards a listed company structure.
Responsibilities
- Ensure compliance with the Companies Act, 2013, Secretarial Standards, and other applicable corporate laws and regulations.
- Manage all statutory filings, secretarial records, registers, resolutions, disclosures, and governance documentation for the organization and group entities.
- Organize and manage Board Meetings, Committee Meetings, Annual General Meetings (AGM), and Extraordinary General Meetings (EGM).
- Draft agendas, notices, board resolutions, meeting minutes, and governance documentation.
- Support end-to-end IPO preparedness and listing-related secretarial activities.
- Handle secretarial and regulatory compliances related to fundraising transactions, capital restructuring, and Employee Stock Option Plans (ESOPs).
- Liaise with statutory authorities including ROC, SEBI, RBI, and Stock Exchanges.
Qualifications
- Educational Qualifications:
- Qualified Company Secretary (ICSI) – Mandatory
- LLB will be an added advantage
- Key Skills:
- Strong expertise in Companies Act, 2013, SEBI Regulations & Listing Compliance.
- Experience in Corporate Governance and Fund Raising Transactions.
- Knowledge of Private Placement, Rights Issue, FEMA & RBI Compliance, and Secretarial Standards.
- Proficiency in IPO & Listing Compliance and ESOP Administration & Equity Structuring.
- Strong drafting, analytical, communication, and stakeholder management skills.
- Ability to work in a fast-paced and evolving business environment.
Preferred Skills
- Prior experience in listed companies or organizations preparing for IPO preferred.
- Experience working with Private Equity (PE) / Venture Capital (VC)-backed or investor-backed organizations will be highly preferred.
Experience
- 10–15 years of post-qualification experience as a Company Secretary.

- The position is based in Bengaluru and is a full-time role requiring collaboration with senior leadership, finance, legal, audit, HR, and investor stakeholders.
