Job Summary
We are seeking a qualified and experienced Company Secretary to support our organization in ensuring strong corporate governance, regulatory compliance, and efficient secretarial practices. The role will involve close collaboration with senior leadership, Board members, and regulatory authorities while handling comprehensive secretarial responsibilities for the organization.
Responsibilities
- Manage all secretarial and corporate governance-related activities for the company.
- Ensure compliance with the Companies Act, Insurance Regulatory and Development Authority of India (IRDAI) regulations, Securities and Exchange Board of India (SEBI) guidelines (where applicable), and other statutory requirements.
- Organize Board Meetings, Committee Meetings, and Shareholders Meetings, including preparation of agenda, notices, minutes, and resolutions.
- Maintain statutory registers, records, and filings with the Registrar of Companies (ROC) and other regulatory authorities.
- Support senior management and Board members on governance and compliance matters.
- Coordinate with internal stakeholders, auditors, legal teams, and regulators.
- Assist in policy drafting, governance frameworks, and regulatory updates.
- Ensure timely filing of annual returns, disclosures, and statutory submissions.
- Monitor changes in the regulatory environment and advise management on compliance implications.
- Handle secretarial audits and support internal/external audit requirements.
Qualifications
- Qualified Company Secretary with relevant certifications.
- Strong understanding of the Companies Act, corporate governance, and regulatory compliance.
- Proven experience in handling Board processes and regulatory interactions.
- Exposure to IRDAI regulations and insurance industry compliance will be an added advantage.
- Exceptional organizational and communication skills.
- Strong analytical and problem-solving capabilities.
- Ability to work collaboratively with various stakeholders.
- Proficient in regulatory reporting and compliance documentation.
Preferred Skills
- Experience in policy drafting and governance frameworks.
- Knowledge of corporate law and financial regulations.
Experience
- Relevant experience in company secretarial practices, preferably in the insurance sector.
Environment
The role is based in Mumbai, where the candidate will be expected to work in an office environment and engage with various stakeholders, including senior management and regulatory authorities.
